These Terms and Conditions ("Terms") govern your access to and use of the products and services provided by J. LIVIO, sole proprietor, trading as pH7x Systems® ("Company", "we", "us" or "our") through our website https://ph7x.com and/or any software or applications (collectively, the "Service").

By registering for or using the Service, you ("User" or "you") agree to be bound by these Terms. If you do not agree with any of these Terms, please do not use our Service.

• Candidate: A User who creates a profile, uploads a CV, or submits a job application.
• Client: A User who requests a quote, proposal, or services through the portal.
• Tools: Online calculators and simulators available on the website.
• User Content: Information, files, or materials submitted through the portal (including CVs and proposals).
• Quote/Estimate: A non-binding indication of scope, effort, or price provided through the portal.

3. Eligibility and Registration

To register for the Service, you must:

• Be at least 18 years old (or the minimum legal age in your jurisdiction);
• Have full legal capacity to enter into binding contracts;
• Not be located in a country where our Service is prohibited.

Registration requires accurate, complete, and current information. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

4. Service Scope and Portal Features

The Service provides public content and a portal that supports:

• Public pages and contact forms;
• Job listings, candidate profiles, CV upload, and job applications;
• Service quote requests and proposal forms;
• Online calculators and simulators (e.g., salary and tax regime tools);
• Authenticated areas and backoffice tools for authorized users.

Access to certain areas requires registration and appropriate permissions. We may update or discontinue features at any time.

5. Service Requests, Quotes, and Proposals

Information submitted through proposal or quote forms is used to prepare estimates. Estimates are indicative and do not constitute a binding offer. No payment is processed through the portal. Any paid services are provided under a separate written agreement that defines scope, pricing, and timelines.

If you are a consumer and enter into a distance service contract with us, statutory withdrawal rights apply as required by Portuguese and EU law. Details are provided in the applicable service agreement.

6. Account Management and Termination

• You may update your account information in your profile or by contacting support;
• We may suspend or terminate access if you breach these Terms, misuse the Service, or attempt unauthorized access;
• Upon termination, data is retained and deleted in accordance with our Privacy Policy and legal obligations.

7. User Obligations and Prohibited Conduct

By using our Service, you agree NOT to:

• Use the Service for any illegal purpose or in violation of applicable laws;
• Reverse-engineer, decompile, or disassemble any software included in the Service;
• Interfere with or disrupt the Service through bots, scripts, or denial-of-service attacks;
• Share your login credentials or allow unauthorized access to your account;
• Upload content that infringes intellectual property rights or is defamatory, obscene, or unlawful;
• Attempt to gain unauthorized access to our systems or other users' accounts;
• Use the Service to send unsolicited marketing communications (spam).

All intellectual property rights related to the Service—including copyrights, trademarks, patents, trade secrets, software, graphics, and documentation—are owned by pH7x Systems® or its licensors.

You retain ownership of content you upload ("User Content"). By uploading User Content, you grant us a worldwide, royalty-free license to use, reproduce, and distribute it solely to provide the Service.

Personal data is processed in accordance with our Privacy Policy and applicable data protection legislation, including the GDPR and Lei n.º 58/2019.

By using the Service, you consent to the processing of your personal data as described in the Privacy Policy.

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free;
• Results obtained will be accurate or reliable;
• Any defects will be corrected.

Tools, calculators, and simulators are provided for informational purposes only and do not constitute legal, tax, or financial advice. Results depend on the inputs and available datasets and may differ from official calculations.

Note: These limitations do not affect mandatory consumer rights under Portuguese or EU law.

11. Limitation of Liability

To the maximum extent permitted by law, pH7x Systems® shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service.

Our total aggregate liability for any direct damages shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

Note: These limitations do not exclude liability for fraud, gross negligence, or death/personal injury caused by our negligence, as prohibited by law.

Our Service may contain links to third-party websites or services not owned or controlled by us. We are not responsible for the content, privacy policies, or practices of third-party sites.

13. Modifications to Service and Terms

We reserve the right to modify, update, or discontinue the Service at any time. We may revise these Terms periodically. Material changes will be communicated at least 30 days in advance by email or notice on our website.

Continued use of the Service after changes constitutes acceptance of the revised Terms.

14. Indemnification

You agree to indemnify and hold harmless pH7x Systems® from any claims, liabilities, damages, losses, and expenses arising from: (a) your breach of these Terms; (b) your use of the Service; (c) your violation of any law or third-party rights; or (d) your User Content.

15. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, it shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force.

16. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and pH7x Systems® regarding the Service, superseding any prior agreements or communications.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with Portuguese law.

Any disputes arising from these Terms shall be submitted to the exclusive jurisdiction of the courts of Setúbal, Portugal.

Note: If you are a consumer, you may also have the right to bring proceedings in the courts of your habitual residence in accordance with EU Regulation 1215/2012.
